This FD FlexPay™ Agreement (“Agreement”) is made and entered into on the date of acceptance by the Customer,
BETWEEN:
Factory Direct Nigeria Limited, a company duly registered under the laws of the Federal Republic of Nigeria, with its principal business address operating via www.factorydirectng.com
(hereinafter referred to as “Factory Direct NG”, “We”, “Us”, or “The Company”)
AND
The undersigned customer whose details are provided during the FlexPay registration process
(hereinafter referred to as “The Customer”, “You”, or “Buyer”).
1. PURPOSE OF AGREEMENT
This Agreement sets out the terms and conditions governing the FD FlexPay™ program, which allows eligible customers to pay for products in installments prior to product release.
2. ELIGIBILITY & VERIFICATION
The Customer confirms that:
- They are at least 18 years old
- All provided personal information is true and accurate
- They have submitted valid identification and contact details
- Factory Direct NG reserves the right to approve or decline any FlexPay request
3. PAYMENT TERMS
- The Customer agrees to pay a minimum initial deposit of 50% of the total product price.
- The remaining balance shall be paid within an agreed period of 30 to 60 days.
- Payments may be made weekly or bi-weekly as agreed.
- No product shall be released until full payment is completed.
4. PRODUCT OWNERSHIP & CUSTODY
- Ownership of the product remains with Factory Direct NG until full payment is made.
- The product shall be reserved and securely stored by Factory Direct NG during the FlexPay period.
- Device identifiers (including IMEI or serial numbers) may be recorded for security purposes.
5. CASHBACK & FDWALLET
- Upon successful completion of payment, the Customer shall receive 0.5% cashback of the product value.
- Cashback shall be credited to the Customer’s FDWallet.
- Cashback is only released after full payment completion.
- No cashback shall be paid if the FlexPay agreement is terminated or defaulted.
6. DEFAULT & TERMINATION
- Failure to pay as scheduled constitutes a default.
- Factory Direct NG reserves the right to:
- Freeze the FlexPay account
- Cancel the agreement after extended non-payment
- Upon cancellation:
- The product is returned to inventory
- The Customer may receive a refund minus applicable administrative, holding, and service charges
- Cashback rights are forfeited
7. NO TRANSFER OR RESALE
The Customer shall not:
- Transfer FlexPay rights to another person
- Sell or assign the reserved product prior to full payment
8. PRICE ADJUSTMENT
Factory Direct NG reserves the right to include a FlexPay service adjustment to cover storage, risk, and administration costs.
All such adjustments will be disclosed before final confirmation.
9. CUSTOMER OBLIGATIONS
The Customer agrees to:
- Comply with payment schedules
- Communicate promptly in case of financial difficulty
- Act in good faith at all times
Failure to comply may result in suspension from future FlexPay participation.
10. LIMITATION OF LIABILITY
Factory Direct NG shall not be liable for delays or cancellations caused by:
- Force majeure events
- Banking/payment system failures beyond reasonable control
11. GOVERNING LAW
This Agreement shall be governed and interpreted in accordance with the laws of the Federal Republic of Nigeria.
12. ACCEPTANCE
By signing electronically, physically, or confirming via digital acknowledgment, the Customer affirms that they:
- Have read and understood this Agreement
- Agree to be legally bound by its terms
